Terms of Service

1. Definitions

1.1 “Company” refers to Ideal Personnel Ltd.
1.2 “Client” refers to any individual or organization engaging with the Company for human resource (HR) consultancy services.
1.3 “Services” refers to all HR-related offerings provided by the Company, including but not limited to recruitment, payroll management, training, labor law compliance, and strategic HR consultancy.

2. Scope of Services

2.1 Ideal Personnel Ltd provides HR consultancy services as mutually agreed upon in any service agreement or proposal.
2.2 The Company reserves the right to adapt its service offerings based on evolving client needs or emerging market trends while maintaining alignment with Kenyan labor laws.

3. Engagement Process

3.1 All engagements shall commence upon formal written agreement and signature of the service contract.
3.2 The Client is required to provide all necessary documents, information, and access required for the Company to deliver the agreed Services effectively.

4. Fees and Payment Terms

4.1 A non-refundable initial retainer fee may be required upon signing the service agreement.
4.2 All invoices must be settled within 30 days from the date of issue, unless otherwise agreed upon in writing.
4.3 Late payments may attract a penalty, as allowed under the applicable Kenyan laws.
4.4 The Company reserves the right to suspend services for accounts overdue by more than 60 days.

5. Confidentiality

5.1 Both parties agree to maintain the confidentiality of all sensitive information shared during the engagement.
5.2 The Company will not disclose any client information to third parties without prior written consent, except as required by law.

6. Liability

6.1 The Company shall make reasonable efforts to deliver quality services but does not guarantee specific outcomes, such as successful recruitment placements or particular business results.
6.2 The Company is not liable for any indirect or consequential damages arising from the use of its services.
6.3 The Client agrees to indemnify the Company against any liabilities arising from the misuse of deliverables provided by the Company.

7. Compliance with Laws

7.1 The Company operates in strict compliance with Kenyan labor laws, including the Employment Act, Data Protection Act, and other relevant statutes.
7.2 It is the Client’s responsibility to ensure their use of the Company’s services aligns with all applicable local regulations.

8. Termination

8.1 Either party may terminate the agreement by giving 30 days’ written notice.
8.2 Termination does not absolve the Client of the obligation to pay for services rendered up to the termination date.
8.3 The Company reserves the right to terminate the agreement without notice in cases of breach of these Terms and Conditions.

9. Intellectual Property

9.1 All intellectual property, including reports, training materials, and other deliverables, remains the property of the Company unless otherwise agreed upon in writing.
9.2 The Client may use deliverables solely for their intended purposes and must not reproduce or share them without written authorization.

10. Force Majeure

10.1 The Company shall not be held liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, strikes, or government actions.

11. Dispute Resolution

11.1 Any disputes arising out of or in connection with this agreement shall be resolved amicably through negotiation.
11.2 If unresolved, disputes shall be referred to a Kenyan arbitration body or court of law, in accordance with Kenyan legislation.

12. Amendments

12.1 The Company reserves the right to amend these Terms and Conditions from time to time.
12.2 Clients will be notified of any changes in writing, and continued use of the Company’s services signifies acceptance of the revised Terms.

13. Governing Law

13.1 These Terms and Conditions are governed by and construed in accordance with the laws of Kenya.
